Mira AI Terms of Service
Effective date: 20th August 2026
Last updated: 20th August 2026
These Terms of Service govern your use of Mira, the personal AI secretary provided by Consensus Gentium Limited. They cover the Mira Android application, its related websites and the services that link to these Terms (together, the Service). Please read them before you create an account or authorize Mira to act for you, and keep a copy.
Mira can take actions outside the app, including sending communications, making calls and changing appointments. Once you connect, enable and authorize a service, Mira can carry out your instructions and enabled automations through it without asking you to approve every action. Sections 3 and 4 explain the scope and limits of that authority.
Section 14 explains warranty limitations, excluded losses and a limited damages cap for claims that may lawfully be capped. It also identifies liabilities and consumer rights those limits do not affect. Section 6 explains your responsibility for deliberate misuse.
Your agreement is with Consensus Gentium Limited, doing business as Consensus Gentium (we, us or our), at Unit 04, 12/F, 33 Hung To Road, Kwun Tong, Kowloon, Hong Kong. Coming Soon Limited is our partner; it is not a separate contracting provider under these Terms. We remain responsible for our obligations to you.
You accept these Terms when you affirmatively agree to them during registration or another acceptance process in the Service. If you do not agree, do not create an account or use account-based features. Our Privacy Policy explains our handling of personal information. Accepting these Terms does not replace a separate permission or consent required by law.
You must be at least 15 and meet any higher minimum age that applies where you live or to the feature you use. If you are below the age of legal majority or cannot enter this agreement independently, your parent or legal guardian must review and agree to these Terms on your behalf and provide any required permission. If local law does not permit your use on that basis, you may not use the Service. A parent or guardian who authorizes use must have authority to do so and provide appropriate supervision. Age-restricted services and transactions remain subject to their own age limits.
Mira is for individual consumers' personal, non-commercial use only, on both free and paid plans. Business use, including commercial cold emails, messages and calls, is prohibited as explained in section 6. We may stop affected tasks, suspend access or terminate an account for violations under section 13. These Terms do not authorize resale, a managed service for customers or enterprise deployment, and do not create a workplace, healthcare or other regulated-data agreement.
Mira helps with scheduling, contacts, email and messages, AI voice calls, selected files and media, research, documents, reminders, memory and ongoing tasks. Available features depend on your plan, credits, device, permissions, supported integrations and legal or technical restrictions. Mira is currently offered as an Android app. The website describes the product but does not guarantee that every feature is available in every location or at all times.
Give us accurate account information, keep your contact details current and take reasonable steps to protect your device and sign-in credentials. Do not share or sell your account. Tell support@cgentium.com promptly if you suspect unauthorized access. Subject to applicable law and reasonable security safeguards, we may rely on instructions received through your authenticated account unless we know or reasonably suspect they are unauthorized. You are responsible for instructions you give, persons you permit to use your account and misuse you cause or knowingly allow. This does not make you responsible for unauthorized actions caused by our breach or security failure.
Subject to these Terms and your plan, we give you a limited, non-exclusive, non-transferable right to use the Service and install the app on compatible devices you own or control for your personal, non-commercial purposes only. This right lasts while you are entitled to use the Service. We and our licensors retain rights in the software, branding and other product materials. Applicable open-source licences govern their own components.
Connecting an account grants technical access only within the permissions you approve. Enabling and authorizing a connected service allows Mira to use that access to carry out the tasks you request and automations you enable. We will explain the permitted actions before you give that authorization. Accepting these Terms alone does not connect accounts or authorize all possible actions.
After that initial authorization, Mira may decide and perform the steps reasonably needed for an authorized task without a separate confirmation for each step. Depending on the service you enable, this can include drafting and sending an email or message, placing a call, discussing availability, arranging or rescheduling an appointment, sending invitations, updating your calendar or saving a document. An enabled automation may continue after you close the app, according to its instructions and triggers. Permission to one service does not authorize access to another service.
Your authority is limited by the task, recipient or category of recipients, timing, purpose and other limits you provide and the permissions you grant. You are responsible for choosing suitable tasks and stating constraints that matter, including dates, time zones, information that may be disclosed, acceptable alternatives, spending limits and cancellation conditions. By authorizing autonomous actions, you understand that you may not review each step or outgoing communication before it occurs. If you need prior review, include that restriction in the task and do not delegate it unless the Service can follow the restriction. We may request clarification, additional authentication or further authorization, or decline a task where we reasonably doubt that it can be performed safely or within your authority. Device-calendar events are deleted only when you specifically request deletion.
General authorization does not permit Mira to agree to an undisclosed charge, exceed an approved spending limit, accept unrelated contractual terms or make an unrelated commitment. A task involving a paid booking or cancellation fee needs your specific authority for that commitment, including an agreed amount or limit. The Service does not provide authority to transfer money, trade investments or enter other regulated transactions. A document, website, incoming message or statement by a third party does not by itself expand your authorization.
You may revoke device permissions or disconnect an integration through the app, device or connected-service settings, as applicable. You may also instruct Mira to stop a task or contact support@cgentium.com to withdraw continuing task authority. We will act on the withdrawal promptly and stop future actions as soon as reasonably practicable. An action already transmitted or in progress may be impossible to stop. Do not rely on uninstalling the app to withdraw authorization or cancel a subscription: revoke access or request account deletion and cancel renewal separately. Until a requested task change has taken effect, take reasonable steps available to you to prevent further unwanted actions, such as revoking the relevant permission.
Check available task records and any third-party confirmation before relying on a result. A proposed action, an attempted action and a confirmed action are different. Delivery does not prove a recipient read or accepted a message, and an entry in your calendar does not itself prove a merchant confirmed a booking. Maintain necessary permissions and current instructions, monitor continuing tasks and stop them when circumstances change. Tell us promptly about unexpected actions and take reasonable steps to reduce avoidable loss. A delay in reporting does not automatically extinguish a legal claim. Our responsibility, including responsibility for our own errors, is addressed in section 14.
Mira uses AI rather than a human secretary. When making calls, Mira must identify itself as an AI assistant acting for you and provide any other legally required identification. You must not ask it to conceal that fact, impersonate someone without authority or misrepresent what you have agreed to.
Only ask Mira to contact people whom you may lawfully contact for a purpose permitted by section 6. You must provide any recipient permission or other authority that the law requires, including permission for artificial-voice calls, recording or transcription where applicable. Your instruction to Mira and your acceptance of these Terms are not the recipient's consent. A publicly listed telephone number is not necessarily permission for an AI call. Respect refusals, opt-outs, applicable calling times and do-not-call restrictions.
If a call is recorded or transcribed, required participant notices and consents must be provided before the relevant activity. Do not ask Mira to bypass those requirements. We may decline, stop or restrict calls, messages or recordings by destination, number type, purpose, recipient preference or legal requirement, and may request reasonable evidence of your authority or required consent. We remain responsible for legal obligations that apply to us. Recording or transcription features are subject to the relevant feature disclosures and Privacy Policy; accepting these Terms is not consent on behalf of another participant.
Do not use Mira for emergency calls or urgent safety-critical communications. It is not an emergency service and cannot be relied on to reach emergency responders. Do not use it for unsolicited promotional campaigns, bulk calling or bulk messaging, harassment or repeated contact after a refusal.
Any reservation, appointment or purchase arranged with another provider is subject to that provider's terms and your authorized instructions. You are responsible for properly authorized charges, attendance requirements and disclosed cancellation fees. We are not the restaurant, clinic, merchant or other provider and do not guarantee its availability or performance. Our responsibility for our own errors remains subject to section 14.
AI may misunderstand instructions, confuse people or dates, omit information, fabricate facts or sources, and produce biased or unsuitable content. Research and summaries may be incomplete or out of date. Memory may be incomplete or incorrect and is not a permanent archive. Outputs may resemble outputs given to other users.
Review important information before relying on it, particularly recipients, attachments, dates, time zones, prices, bookings and information shared with others. Use suitable human review for consequential decisions. Keep independent copies of important records and alternative reminders for critical deadlines. Task histories and assistant summaries are useful records but are not guaranteed to be complete evidence of a third party's agreement.
Mira does not provide professional medical, legal, financial or other regulated advice. Arranging a clinic appointment does not make Mira a healthcare provider. Do not use the Service as the sole basis for decisions about health, safety, legal rights or substantial financial interests, or for decisions determining another person's employment, credit, housing or similar opportunities.
These limitations describe how AI works. They do not remove our duty to provide the Service with reasonable care and skill, comply with applicable law or deliver the paid features we have agreed to supply.
Use the Service only for your personal, non-commercial purposes. You must not use it to operate or promote a business, perform work for an employer or client, provide paid services or conduct other business or commercial activities. This includes preparing, sending or arranging commercial cold emails, messages or calls, advertising, marketing, sales outreach, lead generation and customer solicitation, whether directed to one recipient or many. The restriction applies to free and paid plans, even where the activity would otherwise be lawful or a recipient has consented. Connecting an account, authorizing an automation or paying for credits does not grant an exception.
You may contact a business to manage your own personal affairs, such as booking your own restaurant table or medical appointment, subject to the other requirements of these Terms. That does not authorize you to act on behalf of that business. Do not use multiple accounts, split a campaign into individual tasks or use another person to evade these restrictions.
You must have the rights and permissions needed to provide content, connect accounts, disclose information about other people and ask us to perform a task. Respect confidentiality, privacy, intellectual property and applicable law. Do not submit information that your duties to an employer or another person prohibit you from sharing with the Service.
You must not use the Service to commit fraud, deceive recipients, stalk or harass people, exploit children, generate or distribute unlawful content, infringe rights, introduce malware, obtain unauthorized access or disclose another person's private information unlawfully. You must not defeat safety or consent controls, bypass credit limits, create accounts to abuse free allowances, disrupt the Service or resell access.
Do not reverse engineer or copy the Service except where applicable law or an applicable open-source licence permits it. This restriction does not prevent lawful independent research, reporting a vulnerability responsibly or exercising a right that cannot be restricted by contract.
Report unlawful or harmful output, misuse, unexpected actions or security concerns through an available reporting control or support@cgentium.com. We may investigate and take proportionate action under section 13. You remain free to contact a regulator or other competent authority.
You are responsible under applicable law for reasonable, documented losses directly caused by your fraud, knowingly unlawful use, deliberate infringement of another person's rights or deliberate material breach of these Terms. This may include reasonable external legal costs and amounts we are legally required to pay on a third-party claim caused by that conduct. It does not cover our own breach, negligence or wrongdoing, or that of persons for whom we are legally responsible, and does not make you responsible merely for using the Service.
We will take reasonable steps to reduce those losses, notify you of a claim promptly, provide supporting information and give you a reasonable opportunity to respond. We will not agree to a settlement requiring a payment or admission from you without your agreement. This provision creates no obligation to conduct our defence, pay penalties imposed for our own conduct or pay amounts you would not otherwise owe under applicable law. Guardian consent does not itself create a personal guarantee of a child's liabilities.
You retain the rights you have in the instructions, files, recordings, messages and other content you provide or make available through connected services (Your Content). You confirm that you have the authority needed for us to process it for your requested purposes. Connecting an account does not transfer ownership of its contents to us.
You give us a non-exclusive, worldwide, royalty-free permission to host, reproduce, transmit, process and adapt Your Content only as needed to provide and secure the Service, carry out your authorized tasks, investigate abuse or security incidents, provide support you request and comply with law, consistently with our Privacy Policy. We may allow contracted providers to perform that processing on our behalf under appropriate restrictions. This permission remains subject to the policy's limits on access, human review and use of connected data. It does not authorize us to publish your private content, sell it, use it in advertising or use it for unrelated purposes.
As between you and us, you may use the output generated for you, and we assign to you any transferable intellectual property rights we have in that output. This allocation of rights does not authorize use of the Service for a purpose prohibited by section 6. It does not transfer rights belonging to others or rights in the underlying Service. AI output may not qualify for copyright or other exclusive protection, and we do not promise that it is unique or free of third-party rights. Check rights before using or sharing it in a way that could infringe them.
The processing permission ends when it is no longer needed for those purposes, subject to lawful retention and deletion under the Privacy Policy. Recipients may retain copies already sent to them. If you voluntarily provide product suggestions, we may use the suggestions to improve the Service without payment; that permission does not extend to private content, connected-account data or personal information included in the submission.
The Privacy Policy is available at https://mira.cgentium.com/privacy_policy.html. It describes collection, AI processing, providers, retention, deletion and privacy rights. We will not interpret these Terms as permission to broaden the data uses or access limits described there. Any legally required permission for a new use must be obtained separately.
Contact lookup uses contacts you select through your device's system contact picker. If you enable full device-contact synchronization, access requires a separate prominent disclosure and permission; you can disable it in the app or device settings. Device-calendar access depends on the permission granted, and device-calendar events are deleted only when you specifically request deletion. Selected photos, videos and files are accessed through the relevant picker or other user-directed feature, as described in the Privacy Policy.
Google integrations are optional. Gmail access is send-only: it does not authorize us to read or search your inbox or existing messages, or manage drafts stored in Gmail. Google Calendar access is limited to the authorized calendar features and your instructions. Google Drive access is limited to files you select, create, open or expressly share with Mira; it does not grant broad access to your Drive. For an installed mail application's compose screen, we transfer the message information you approved and that application controls sending. This does not give us inbox access.
Mira's use and transfer of information received from Google APIs must comply with the Google API Services User Data Policy, including its Limited Use requirements. We do not sell personal information or use it for third-party behavioral advertising. We do not use Google Workspace data or data derived from it to train, fine-tune or improve generalized or non-personalized AI models. We do not use other sensitive integration data for generalized AI-model training. User-specific memory is not used to train any model, as stated in our Privacy Policy. The content permission in section 7 does not override these restrictions.
You may revoke permissions or disconnect integrations without losing unrelated features. Revocation stops future authorized access but does not automatically delete your Mira account or information already stored, undo completed actions or delete recipients' copies. Account and content deletion follow section 13 and the Privacy Policy.
Third-party accounts, applications and services that you independently connect or choose, such as your Google account or installed mail application, have their own terms and privacy practices. Comply with the terms applicable to your use of those services and connect only accounts you may authorize. Your mobile operator or another independent provider may charge separately for data or other services. Providers that we engage to process information on our behalf are subject to the restrictions described in our Privacy Policy; they are not all independent services to which you must separately agree.
Independent providers may change, interrupt or discontinue an integration or refuse a transaction. We do not promise continued API access, a recipient's response, a merchant's acceptance or performance, or compatibility with an unsupported device or service. We are not responsible for failures solely attributable to an independent provider you select and outside our reasonable control, where we have met our own obligations. We remain responsible for our own integration and processing errors and for providers performing our obligations where the law makes us responsible. Material effects on a paid plan remain subject to sections 11, 12 and 14.
Mira offers a free plan with limited usage credits and subscription plans with included usage credits. The plan and purchase screens specify the current price, currency, applicable taxes, billing interval, renewal arrangement, included features, credit allowance and any other material limits. Paid features begin only after the purchase and required payment authorization are completed.
Usage credits measure access to the Service; they are not money, a deposit, a transferable asset or an investment. They may not be transferred, sold or redeemed for cash, except for a refund required by law or these Terms. Different tasks may consume different amounts. Before you select a plan or authorize a chargeable feature, we will explain how credits are measured, replenished and deducted, including how attempted or failed tasks are treated. Unused credits expire at the end of the validity period disclosed for your plan. We will disclose that period, any carry-forward rule within it and the effect of cancellation or a plan change before purchase. We will not retroactively impose an undisclosed expiry or deduction rule on credits already purchased. Any expiry is subject to mandatory law and refund rights.
When your available credits are insufficient, a task may pause or fail to start. We do not automatically bill overages, buy additional credits or move you to a paid or more expensive plan without your separate agreement to the relevant price and billing arrangement. You can ask support to investigate an incorrect deduction or charge, and we will correct errors for which we are responsible.
An unsuccessful result does not by itself establish that a credit deduction was incorrect: a task may consume processing, calling or other resources even when a recipient does not respond or the desired outcome is unavailable. A deduction for an attempted task is permitted only under the measurement rules disclosed for your plan and applicable consumer law. This does not waive a remedy for our failure to provide the agreed service.
If you purchase an automatically renewing subscription, you authorize recurring charges at the price and interval shown before purchase until you cancel. A free plan does not become a paid subscription merely because its credits run out. If we offer a trial or promotion, we will state its duration, eligibility, included credits, conversion price and cancellation deadline before you accept it. A trial converts to paid service only with the required informed agreement.
Payment may be processed through Google Play or another payment channel identified before purchase. The purchase confirmation identifies the billing provider and applicable management and refund process. Keep the confirmation for your records. We will give at least 30 days' notice of a subscription price increase, or longer if required, and it will not apply before the next eligible renewal. We will obtain agreement where required and allow cancellation before the increase takes effect.
You may cancel renewal at any time. For a Google Play subscription, use Google Play's subscription-management controls for the Google Account used to purchase it. Mira will provide an accessible route to manage the subscription. For any subscription billed directly by us, use the cancellation control provided with that plan or contact support@cgentium.com. We will not require unnecessary steps to cancel.
Cancellation normally stops future renewals and leaves paid access in place until the end of the period already paid for, unless you choose immediate termination or an applicable refund requires access to end sooner. Cancel before the renewal processing deadline disclosed by the billing provider. Deleting the app does not cancel a subscription. If you delete your Mira account, also cancel any store-managed subscription to prevent further renewal; we will cancel future renewals of subscriptions billed directly by us when closing the account.
Except where a refund is required by law, an applicable store policy, an offer we made or these Terms, cancelling renewal alone does not entitle you to a refund for the current period or unused credits. This does not exclude rights concerning unauthorized or incorrect charges, defective or misdescribed services, non-performance or statutory withdrawal. Contact the billing provider or us for help; a store process does not extinguish a claim you have against us.
If we discontinue a paid service or end your paid access without a material breach by you, we will refund the unused prepaid portion and, if offered, unused separately purchased credits that can no longer be used, subject to any more favorable legal entitlement. If there is a material failure to supply what we agreed, we will provide the remedy required by law, which may include correction, repeat performance, a price reduction or a refund.
If you are an EEA or UK consumer and statutory withdrawal rights apply to your distance contract, you generally have 14 days from conclusion of the contract to withdraw without giving a reason. Send an unequivocal statement to support@cgentium.com or our postal address before that period expires, or use the withdrawal function provided where required. You may use the form below, but do not have to. A legally required longer period or more favorable local right takes priority.
Where that withdrawal right applies, we will reimburse payments due for refund without undue delay and within 14 days after receiving your withdrawal, using the same payment method unless you expressly agree otherwise, without a refund fee. If you expressly request a service to begin during the withdrawal period, a proportionate charge may apply only where the law permits and the required information and consent were provided. Starting an ongoing subscription does not by itself waive withdrawal rights. Any lawful exception for fully performed services or separately supplied digital content requires its own conditions, including any required express consent and acknowledgment; we do not obtain that acknowledgment merely through acceptance of these Terms.
Other countries may give you different or additional cancellation and refund rights. Those rights apply even if not listed here. Nothing in these Terms limits a mandatory consumer guarantee, cooling-off period or remedy.
To: Consensus Gentium Limited, Unit 04, 12/F, 33 Hung To Road, Kwun Tong, Kowloon, Hong Kong; support@cgentium.com.
I give notice that I withdraw from my contract for the following Mira service or subscription: __________.
Date ordered: __________. Account email or order reference: __________.
Consumer name and address: __________.
Date: __________. Signature, only if submitted on paper: __________.
We may update the Service to maintain security or compatibility, comply with law, address abuse, improve functionality or respond to changes in providers or technology. We will supply updates required by law and explain any action you need to take. You are responsible for installing updates after reasonable notice when necessary for safe operation, subject to applicable consumer rights.
Free allowances do not create a permanent entitlement to future credits or features. We may change or withdraw future free allowances for those reasons, on reasonable notice where practicable, without retrospectively changing credits already granted contrary to their disclosed conditions. If a feature is expressly offered as experimental or beta, we will identify its limitations before you choose it. It may have reduced reliability or support and may change or end. Those limitations do not remove paid-plan commitments or mandatory consumer guarantees.
We will not use a change to remove the substance of a paid plan during an already paid period without an appropriate remedy. For a material change that disadvantages you, we will give reasonable advance notice, normally at least 30 days, explain the change and your choices, and allow you to end the affected paid service with a refund for the unused portion if you do not accept it. A shorter notice period may be necessary for urgent security or legal reasons; we will explain it where lawful.
Where mandatory digital-service rules apply, changes must meet those rules, including any requirement for a valid reason, no additional cost, notice on a durable medium and a right to terminate when access or use is adversely affected beyond a minor degree. You retain any statutory time limit and remedy that is more favorable than these Terms. Ordinary maintenance or third-party outages may interrupt access, but do not excuse obligations that the law requires us to meet.
You may stop using the Service and request account deletion through the app's account-deletion control, https://www.cgentium.com/account-deletion or support@cgentium.com. Verify that any continuing automations are disabled and cancel store-managed subscriptions as described in section 11. You may ask for copies or deletion of personal information through the Privacy Policy's procedures.
We may refuse or pause a task, limit affected features, request additional authentication, suspend access or terminate an account where reasonably necessary to address a material breach, reasonably suspected fraud or unlawful activity, abusive use of credits, compromised credentials, a genuine security risk, failure to pay an amount properly due, or a legal requirement. We may enforce disclosed usage and technical limits to protect the Service. A good-faith billing dispute is not itself fraud or a material breach.
Where we have reasonable grounds to believe you are using Mira for a prohibited commercial purpose or other prohibited outreach, we may require you to stop, refuse or stop affected tasks and automations, restrict relevant features or temporarily suspend access while we investigate. We may terminate your account and access to the Service for a serious or repeated breach, or if you fail to stop after reasonable notice. We may act immediately, without advance notice, where necessary to prevent unlawful communications, harm or continuing abuse. The proportionality, review and refund protections in this section continue to apply.
We will use a proportionate response and, where practicable, give reasons, notice and an opportunity to remedy the problem. We may act immediately if delay risks harm, and may withhold details where disclosure would be unlawful or compromise security. We may preserve relevant records only as permitted by the Privacy Policy and law. Contact support@cgentium.com if you believe a decision is wrong. We may refuse further accounts established to evade a justified suspension.
If we otherwise stop offering your paid service, we will provide reasonable notice and the refunds described in section 11. Where lawful and practical, we will give you an opportunity to retrieve your content before access ends. Suspension is not account deletion, and termination does not automatically make all prepaid amounts forfeit. Any refund or retention must comply with law and these Terms.
As part of processing account closure, we stop future task processing and connected-account access for that account. If you need access stopped sooner, revoke the relevant permissions directly; requesting deletion may not stop an action already in progress. Completed communications, bookings and third-party records may remain outside our control. We handle stored content, tokens and backups under the Privacy Policy and applicable law, including limited retention for legitimate legal obligations or claims. The provisions concerning accrued payments, content rights, lawful retention, responsibility for deliberate misuse, liability and disputes continue only to the extent needed after termination.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, deliberate wrongdoing or gross negligence. The exclusions and cap below also do not restrict mandatory consumer guarantees, statutory service or digital-content duties, non-excludable privacy or data-protection liabilities, or any other liability that cannot lawfully be limited. We will provide the Service with reasonable care and skill; no exclusion or cap overrides liability for that duty where it cannot lawfully be restricted. Required refunds, price reductions, other statutory remedies and amounts we already owe you are not subject to the damages cap below.
We supply the functionality expressly described in your accepted plan, together with legally binding pre-contract information and mandatory guarantees. Beyond those commitments, we do not give additional warranties that AI output will be accurate, complete, unique or non-infringing, that every task will succeed, that a particular outcome or saving will be achieved, or that access will always be uninterrupted, error-free or compatible with unsupported systems. General demonstrations and examples illustrate possible uses; they do not promise the same result in every case or remove binding representations. You must exercise the review and task-selection responsibilities in these Terms.
We are not responsible for losses neither party could reasonably have anticipated when agreeing to the relevant service or task, or losses not caused by our breach or other legally actionable fault. To the extent permitted by applicable law, because this is a consumer service, we are not liable for losses arising from business or commercial use, such as lost business profits, revenue, goodwill, business opportunities or business interruption. This does not classify every loss of income, savings, personal data or a personal appointment as a business loss.
We are not responsible for loss caused solely by inaccurate or incomplete information you supply, actions you take outside your authority, your failure to follow a reasonable safety instruction, or an independent event outside our reasonable control, where we have met our own obligations. We must take reasonable steps to reduce the effects of an interruption. These provisions do not exclude our own contribution to a loss, including through negligent interpretation or execution of your instructions, or responsibility for persons performing our obligations where the law makes us responsible.
For claims that applicable law permits to be fairly capped, and subject to all the protections above, our total liability for a claim or a series of claims arising from the same or connected events will not exceed the greater of HKD1,000 and the total Mira fees you paid during the 12 months immediately before the first event giving rise to those claims. This is a combined limit for connected claims, whether framed in contract, tort or another legal theory. It is not a new limit for each claim, and it does not aggregate unrelated events into a lifetime cap.
This cap does not apply to a claim for our failure to exercise reasonable care and skill, any liability or remedy protected above, or a claim in a jurisdiction where that cap would be unlawful or unfair. In those cases your recovery is determined under applicable law without this cap. A free plan does not reduce the cap to zero. Nothing here makes the refund of fees your only remedy.
We may change these Terms for the reasons described in section 12 or to clarify them. We will identify the updated version and give at least 30 days' advance notice of a material change through the Service or by email, unless a shorter period is reasonably required for a legal or urgent security reason. Changes do not apply retrospectively to disputes or authorized charges that arose before their effective date.
If a change materially disadvantages you, you may end the affected service before it takes effect and receive any refund required by section 12 or law. We will obtain renewed acceptance where required; silence or continued use is not a substitute for consent when the law requires an affirmative choice. Non-material clarifications may take effect when posted.
Hong Kong law governs this agreement, subject to mandatory protections that apply where you ordinarily live. This choice does not deprive a consumer of protections that cannot be excluded by agreement. The courts of Hong Kong have non-exclusive jurisdiction, and you may bring a claim in any other court available to you under applicable consumer law, including your home courts where the law permits.
You may contact support@cgentium.com to seek an informal resolution. Doing so is optional and does not delay or restrict your right to go to court, use a statutory dispute-resolution process or complain to a regulator. These Terms do not require arbitration, waive class or collective remedies where available, or shorten a statutory limitation period.
For questions, complaints, billing issues, unexpected actions or claims, contact Consensus Gentium Limited at support@cgentium.com or Unit 04, 12/F, 33 Hung To Road, Kwun Tong, Kowloon, Hong Kong. Send privacy questions to privacy@cgentium.com. The privacy-request page is https://www.cgentium.com/privacy-request.
We may send necessary account, security, billing and legal notices through the app or your account email, with a durable copy where required. This is not consent to marketing messages. Keep your contact details current. You may save or request a copy of these Terms.
These Terms and the plan details you expressly accept form our agreement for the Service, without excluding legally binding pre-contract information or statutory rights. A specific plan offer governs its price and allowance but cannot silently remove the consumer protections in these Terms. A privacy notice describes data handling and does not grant broader authority to act for you.
If a provision is unlawful or unenforceable, it applies only to the extent lawful or is removed where necessary, without undermining your mandatory rights or the remainder of the agreement. A delay in enforcing a provision is not a waiver. We may transfer this agreement as part of a genuine business transfer only if your rights and protections are preserved, with notice and any choice or consent required by law. Except where law provides otherwise, no third party has an independent right to enforce these Terms.
